Terms of Service

These are the terms on which Nuggt Pty Ltd (ACN 699 808 663, ABN 82 699 808 663, 7 Pine St, Randwick NSW 2031, Australia; "Nuggt", "we", "us") provides the Nuggt app and service to you. Please read them.

Our Privacy Policy explains how we handle your data and forms part of these terms. Our trust page describes what the product does with your meetings in plain terms.

1.The agreement

1.1 Who is agreeing. You accept these terms by agreeing to them when you first sign in to Nuggt, and again when you subscribe. If you do not agree, do not use Nuggt. If you accept on behalf of a company or other organisation, you confirm you have authority to bind it, and "you" means that organisation.

1.2 Age. You must be at least 18 years old.

1.3 Business use. Nuggt is built for use at work. Consumer protection laws often still apply to you, and nothing in these terms takes away a right you have under a law that cannot be excluded (see section 12.5).

1.4 Organisations and seats. A Business plan is bought by an organisation for its members. The organisation's owner or admins manage its subscription and seat count, and can ask us to remove a member or delete a member's account. Each member's meetings remain visible only to that member; there is no administrator override in the app (see the Privacy Policy, section 6). The organisation can ask us to export or delete a member's content, including when the member leaves. Seats belong to the organisation and can be reassigned between members.

2.The service

2.1 What Nuggt does. Nuggt runs on your Mac, transcribes your meetings on your computer, sends the text to our servers while the meeting is running, and uses AI to answer questions and produce notes. It keeps the facts and notes from your meetings so that later meetings benefit from them; that memory is per person and spans all of your meetings, so a fact from one meeting can be surfaced in another of yours. There is currently no per-client separation; deleting a meeting (8.1) removes its facts from that memory. There is no audio recording and no bot in your calls. The Privacy Policy describes this precisely.

2.2 Plans. The current plans and prices are on our pricing page. In summary:

  • Free: a limited number of live answers per meeting, with notes and summaries, within fair use (2.4); we keep the notes, answers and summary of meetings older than 30 days but hide them until you upgrade, and you can delete them at any time. No card required.
  • Pro: everything without the Free plan's limits, for one person, billed monthly or yearly.
  • Business: Pro for every member of an organisation, billed per seat to the organisation.
  • Enterprise: by agreement.

2.3 Trial. New accounts get live answers with no per-meeting limit for about their first two weeks, sometimes longer; the Free plan's other limits still apply. This is not a payment trial: we do not take a card and you are not charged when it ends. Your account simply continues on the Free plan unless you choose to subscribe.

2.4 Limits. Each plan has limits, such as a maximum meeting length and, on Free accounts (including during the trial), a monthly AI-usage allowance. The limits shown on the pricing page when you subscribe (or, on Free, when you first sign in) form part of these terms. We may change them on 30 days' notice; if a change reduces what you pay for, section 2.5 applies. If you reach a limit, the app tells you; on Free accounts, live answers stop and no notes or summary are produced for meetings held until the allowance resets on the first of the next month. Beyond those limits we may restrict use only where it is clearly excessive for your plan or threatens the service, and we will tell you first.

2.5 Changes to the service. Nuggt is a young product and we improve it continuously. We may add, change or remove features. If we remove a feature you pay for, we will tell you at least 30 days in advance and you may cancel and receive a pro-rata refund of any prepaid period.

2.6 Availability. We aim for Nuggt to be available at all times but do not promise it will be. We may suspend it briefly for maintenance and will try to warn you.

3.Billing, renewal and cancellation

3.1 Subscriptions renew automatically. A paid plan is a subscription. It renews at the end of each billing period, monthly or yearly as you chose, at the then-current price for your plan (see 3.3 for how we tell you about price changes), until you cancel. The price, the billing period and the renewal date are shown to you before you pay and on every invoice. Pressing the pay button on the checkout page places your order and is your consent to automatic renewal, and you then receive a confirmation email with the renewal terms and how to cancel.

3.2 Payment. Payment is taken by our payment provider, Stripe, from the payment method you give it, on the first day of each billing period. Prices are in US dollars. Taxes (such as GST or VAT) are added at checkout where they apply, based on your location.

3.3 Price changes. We may change prices. The price you paid is locked for the period you paid for; a change takes effect at your next renewal, and we will email you at least 30 days before it does. If you do not want the new price, cancel before the renewal date.

3.4 Renewal reminders. For yearly plans, we will email you between 15 and 45 days before the renewal date, stating the amount, the date and how to cancel.

3.5 Cancelling. You can cancel at any time from Settings → Manage billing in the app (on a Business plan, by an owner or admin), which opens your billing portal, or by emailing support@nuggt.ai from your account address. Cancelling stops the next renewal. You keep your paid features until the end of the period you have already paid for, then move to the Free plan. Your data is not deleted by cancelling; see section 8 for deletion.

3.6 Changing plans. You can upgrade at any time; the difference for the remainder of the current period is charged straight away or added to your next invoice. Downgrades take effect at the next renewal.

3.7 Failed payments. If a renewal payment fails, our payment provider will retry it for about a week and may email you. If it still fails, your account moves to the Free plan. You can resubscribe at any time.

3.8 Business seats. An organisation is billed for the number of seats on its subscription. Adding seats is charged for the rest of the current period, straight away or on your next invoice; reducing seats takes effect at the next renewal.

4.Refunds and your right to cancel

4.1 Fourteen days to change your mind. Wherever you are, you may cancel a new subscription within 14 days of subscribing, for any reason, by emailing support@nuggt.ai or using the billing portal. Because you ask us to start straight away at checkout and acknowledge that starting affects this right, we refund what you paid minus the share for the days you had the service (cancel on day 5 of a monthly plan and you get about 25 days' worth back). If we did not obtain that acknowledgement, or your local law entitles you to a full refund, you get a full refund. On a yearly renewal, the 30-day refund in 4.3 applies. You can use the cancellation form in 4.4, but you do not have to.

4.2 If Nuggt fails you. Wherever you are: if the service has a major failure, you can cancel and receive a refund for the unused portion. Nothing in these terms limits the rights consumer law gives you.

If you are in Australia: our services come with guarantees that cannot be excluded under the Australian Consumer Law. For major failures with the service, you are entitled to cancel your subscription and to a refund for the unused portion, or to compensation for its reduced value. You are also entitled to be compensated for any other reasonably foreseeable loss or damage. If the failure does not amount to a major failure, you are entitled to have problems with the service rectified in a reasonable time and, if this is not done, to cancel and obtain a refund for the unused portion.

4.3 Other refunds. Your rights under 4.1 and 4.2, and under sections 2.5, 9.3 and 13, come first. We will also always refund a period you were charged for by mistake, credit you pro rata for any downtime we confirm that adds up to more than a day in a calendar month, and refund any renewal you tell us you did not intend, within 7 days of a monthly renewal or 30 days of a yearly one. Otherwise, fees for a period you have already started are not refunded.

4.4 Cancellation form. To cancel under 4.1 you can email support@nuggt.ai with: "I cancel my Nuggt subscription. Name: [your name]. Account email: [your email]. Date: [date]."

4.5 How refunds are paid. To the payment method you used, usually within 10 business days.

5.Your responsibilities

5.1 Telling the people in your meetings. Nuggt transcribes the audio your computer hears, on your computer, and sends the text to us while the meeting runs. Laws in many places require every participant to be told that a conversation is being transcribed, and in some places require their consent. You are responsible for giving any notice, and obtaining any consent, that the law requires wherever your participants are. Nuggt reminds you of this before your first meeting; the reminder is not legal advice and does not do it for you.

5.2 Your account. Keep your sign-in secure and tell us at once if you think someone else has used your account. You are responsible for what is done with it until you do.

5.3 Accurate information. Give us accurate account and billing information and keep it up to date.

5.4 Lawful use. Use Nuggt only in compliance with the law and these terms, and only for its intended purpose: assisting you in conversations you are entitled to transcribe.

5.5 Your own obligations. Use Nuggt only where your own obligations allow a cloud service like ours. Section 7.1 says how we treat your content, so you can show it to whoever needs to know.

6.Acceptable use

You must not, and must not allow anyone else to:

  • Automate Nuggt. No scripts, bots or tools that drive our servers other than through the Nuggt app, bulk-extract data, or circumvent limits or burden the service. Reading your own notes in the app, or copying them out, is fine.
  • Extract our AI. No using Nuggt or its output to build, train or improve a product or model that competes with Nuggt, or a dataset for one.
  • Misuse the AI. No using Nuggt's output alone to make decisions with legal or similarly significant effects on a person, and no attempting to make the AI produce content that breaches our AI provider's usage policies (currently OpenAI's).
  • Redistribute or tamper. No redistributing the app or the models it bundles, and no bypassing its licence or plan checks; this is not a ban on inspecting software you run on your own computer where the law allows it.
  • Circumvent limits or billing, share one account between people, create multiple accounts to extend a trial, or resell access.
  • Use Nuggt to monitor people covertly, to transcribe conversations whose participants have not been told or that you are not entitled to transcribe, or in any way that breaks a privacy, surveillance, or wiretap law.
  • Upload unlawful content or content you have no right to process, or use Nuggt to harass, defraud or harm anyone.
  • Probe or disrupt our systems, or attempt to access another user's data.

We may suspend or close an account that breaches this section (section 9).

7.Your content, our content, and AI output

7.1 Yours stays yours. You own your meeting content: what is said in your meetings, the facts and notes derived from it, and anything you type. On a Business plan the organisation owns its members' meeting content, each member accesses their own in the app, no administrator can read it there, and the organisation can have it exported or deleted on request (8.3, 8.4). You give us a licence to store, process and transmit it only as needed to provide Nuggt to you and as the Privacy Policy describes. That licence ends when the content is deleted. We treat your meeting content as confidential and will not disclose it except as needed to provide Nuggt or as required by law; if we are compelled to, we tell you unless the law forbids it or telling you would endanger someone or obstruct an investigation.

7.2 No training. We do not use your content to train AI models. We use only AI providers whose published API terms currently state that data sent through the API is not used for training (currently OpenAI, under its API data policy), and we will not opt in to any training programme.

7.3 AI output. The answers, facts and notes Nuggt produces are generated by AI from your meetings, from web search via our AI provider and, if you connect them, from your documents. Nuggt is an AI system. They can be wrong, incomplete or out of date. They are an aid to your judgement, not a substitute for it, and not legal, financial, medical or other professional advice. You are responsible for anything you do with them. The output is yours; whatever rights we could have in it, we give to you.

7.4 Third-party content. Web search results and documents from services you connect belong to their owners and are subject to those services' terms.

7.5 Ours. The Nuggt app, service, brand and everything we make are owned by Nuggt Pty Ltd or its licensors. We give you a personal, non-transferable, non-exclusive licence to use the app for its intended purpose while you have an account. All other rights are reserved.

7.6 Feedback. If you send us ideas or feedback we may use them without obligation to you. We treat feedback as non-confidential, so please do not include confidential material in it.

8.Your data, deletion and account closure

8.1 Deleting a meeting. You can delete any meeting from your history in the app. Everything stored under that meeting on our servers, including its notes, answers and remembered facts, is removed at once. Transcripts you chose to keep on your own computer are yours to delete from Settings.

8.2 Deleting your account. You can request deletion from Settings → Delete account (you will be asked to sign in again) or by emailing support@nuggt.ai. When we process your request we cancel any subscription, delete your account and everything in it except the records the Privacy Policy says we keep, and confirm by email, usually within 72 hours and always within 30 days. If you have paid for a period that has not ended, cancel first (3.5) so you keep what you paid for, then delete; deleting mid-period forfeits the rest of the period unless 4.1 or 4.2 applies. This cannot be undone.

8.3 Organisation accounts. An organisation's owner or admin can ask us to delete a member's account, or to close the organisation, which deletes every member's account and meeting content, without needing each member's consent. We will confirm the request with the owner before acting; closing an organisation may take longer than 72 hours. The last owner of a shared organisation cannot delete their own account while other members remain; transfer ownership or close the organisation first.

8.4 Export. Your notes and summaries are visible and copyable in the app. On request to support@nuggt.ai we will provide a copy of your notes, summaries and remembered facts, and of everything else we hold about you, in a common machine-readable format within 30 days. On a Business plan the organisation may make that request for any member's content.

9.Suspension and termination

9.1 By you. You may stop using Nuggt at any time, cancel under section 3.5, and delete your account under section 8.2.

9.2 By us, for cause. We may suspend (by blocking sign-in) or close your account if you materially breach these terms (in particular sections 5 and 6), if a court or regulator requires it, or if a third party makes a claim we reasonably believe is well-founded; we will tell you what the claim is unless we are not allowed to. Except where the risk is urgent, we will tell you first and give you a reasonable chance to fix it. On a Business plan we act against the member concerned, and against the organisation only for an organisation-level breach. If we close your account for a reason other than your breach, we refund any prepaid period pro rata.

9.3 By us, otherwise. We may close accounts, or stop offering Nuggt entirely, on at least 30 days' notice by email, in which case we refund any prepaid period pro rata.

9.4 After closure. Sections that by their nature should survive (including 7, 10, 11, 12, 13 and 14) survive.

10.How we process your meeting content

For the content of your meetings you (or the organisation that bought Nuggt for you) are the controller and we are your processor, in the terms European law uses. That means:

  • We process meeting content only on your instructions, which are these terms and the way you use the app, and only to provide Nuggt.
  • We keep it secure as the Privacy Policy describes and use only the providers the Privacy Policy names or categorises, under written terms that require them to protect it.
  • We help you respond to a request from someone in your meetings about their data, on the basis of the meetings you identify to us, and we tell you if we receive one.
  • We tell you of a data breach affecting your content as the law requires.
  • We delete or export your content when you ask (sections 8.1 to 8.4) and delete it when your account closes, except the records the Privacy Policy says we keep.
  • Business customers can ask us for a signed data processing agreement on these terms.

11.Connected services

Services you choose to connect to Nuggt (currently Notion) are provided by their owners under their own terms and privacy policies. We are not responsible for them. You can disconnect them in the app at any time.

12.Warranties, liability and indemnity

12.1 What we promise. We will provide Nuggt with reasonable care and skill, substantially as described in these terms, on our pricing page and in the app, and handle your data as the Privacy Policy says.

12.2 What we do not promise. Except as stated in 12.1 and as the law requires, Nuggt is provided "as is". We do not promise that it will be uninterrupted or error-free, that transcription will be accurate, or that AI output will be correct, complete or suitable for any purpose.

12.3 What we are not liable for. To the extent the law allows, we are not liable to you for any indirect or consequential loss, or for loss of profit, business, revenue or goodwill, arising from your use of Nuggt, including loss caused by relying on AI output. This does not exclude our liability for loss of your data caused by our breach of section 12.1 or of the Privacy Policy (which remains subject to the cap in 12.4), for our gross negligence or wilful misconduct, or for loss you are entitled to recover for a failure of a consumer guarantee.

12.4 Cap. To the extent the law allows, our total liability to you in any 12-month period, for everything arising out of these terms, is limited to the greater of USD 100 and the amount you paid us in that period.

12.5 What we never exclude. Nothing in these terms limits liability that the law does not allow us to limit, including for death or personal injury caused by our negligence, for fraud, or under consumer guarantees. Where the service is not of a kind ordinarily acquired for personal, domestic or household use, and it is fair and reasonable to do so, our liability for breach of a guarantee that cannot be excluded is limited to supplying the service again or paying for it to be supplied again.

12.6 If your organisation's use gets us sued. If someone brings a claim against us because a member of your organisation used Nuggt without telling participants as section 5.1 requires, or in breach of section 6, the organisation will cover a fair share of our costs of that claim, in proportion to its members' responsibility for it, and not to the extent we caused it.

13.Changes to these terms

We may change these terms. For changes that affect your rights or obligations we will email you at least 30 days before they take effect, and if you do not accept them you may cancel and receive a pro-rata refund of any prepaid period. Minor changes that do not reduce your rights (for example correcting errors or describing a new feature) may take effect when posted. The date at the top tells you when the terms last changed.

14.Governing law and disputes

14.1 These terms are governed by the law of New South Wales, Australia, and you and we submit to the non-exclusive jurisdiction of the courts of New South Wales.

14.2 If you are a consumer, this does not take away the protection of the laws of the country where you live, and you can also bring a claim in your local courts.

14.3 Before either of us starts a legal claim, we agree to try to resolve the dispute by talking: email support@nuggt.ai, and we will respond within 10 business days. This does not stop you going to a regulator or a small-claims court.

15.General

15.1 These terms, the Privacy Policy and the limits incorporated by section 2.4 are the whole agreement between you and us about Nuggt, but nothing in them excludes liability for a misrepresentation that cannot be excluded by law. An Enterprise agreement signed by both parties, covering volume pricing, invoicing, annual or multi-year terms and negotiated legal terms, prevails over these terms where they conflict.

15.2 If any part of these terms is found unenforceable, the rest continues to apply.

15.3 You may not transfer your account or this agreement to anyone else. We may transfer it as part of a sale or restructure of our business, on at least 30 days' notice to you, so you can delete your account before your data moves; we will require any successor to honour these terms and the Privacy Policy.

15.4 Neither of us is liable for failing to perform because of something outside our reasonable control.

15.5 Notices to you go to your account email, and you agree to receive them electronically; notices to us go to support@nuggt.ai. Support is by email to the same address.

15.6 You may not use Nuggt if doing so would breach sanctions or export laws that apply to you or to us. Your bank may add currency-conversion fees.
